(the "Company") completed~~ a result ~~closing~~ of ~~private~~an ~~placement~~Application ~~offering~~for ~~(the~~Custodianship ~~"Offering")~~granted ofby ~~shares of~~ the ~~Company's~~Eighth ~~common~~Judicial ~~stock,~~District ~~par value $0.001 per share (the "Shares")~~Court, atClark aCounty ~~purchase price of RMB 13.275~~Nevada, orCase Number: ~~US$2.00 per share~~A-20-822777-P, ~~based~~Levi onJacobson ~~the~~was ~~currency~~appointed ~~exchange~~Custodian ~~rate~~ of ~~6.6375~~China onXuefeng ~~October~~Environmental 27Engineering, ~~2017, for an aggregate purchase price of RMB 46,462,500, or approximately $7,000,000~~ Inc. ~~Upon~~ (the ~~closing, the~~ “Company ~~issued a total of 3,500,000 shares of its common stock to the subscribers in the Offering~~”).

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

~~Subscription~~Pursuant ~~Agreement~~to a court order, Levi Jacobson was appointed interim director, president, secretary and treasurer of the Company.

~~The~~Mr. ~~Shares~~Jacobson ~~were~~was ~~offered~~vested ~~and~~with ~~sold~~the right to exercise all of the ~~subscribers~~powers of the corporation, through or in place of its board of directors or officers. Mr. Jacobson was bestowed with all the ~~Offering~~powers ~~pursuant~~specified toin NRS 78.347(6) that ~~certain~~states Custodian ~~subscription~~shall ~~agreements~~have ~~entered~~all ~~into~~the onpowers ~~October~~and 27title of a trustee appointed under NRS 78.590,~~2017~~ (NRS 78.635 and 78.650. Custodians so appointed shall also have the ~~"Subscription~~powers ~~Agreement")~~as provided in NRS 78.640 and 78.645 whether the company is insolvent or not. All real and personal property of the Company wheresoever situated, and all its franchises, rights, privileges, and effects shall, upon the appointment of Custodian, forthwith vest in Custodian, and the Company shall be divested of the title thereto.
