Item 8.01	Other Events.

Delivery of Written Consent

As previously disclosed, on May 7, 2019, Andeavor Logistics LP, a Delaware limited partnership (“ANDX”), Tesoro Logistics GP, LLC, a Delaware limited liability company (“ANDX GP”), MPLX LP, a Delaware limited partnership (“MPLX”), MPLX GP LLC, a Delaware limited liability company (“MPLX GP”), and MPLX MAX LLC, a Delaware limited liability company and a wholly owned subsidiary of MPLX (“Merger Sub”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) that provides for, among other things, the merger of Merger Sub with and into ANDX (the “Merger”), with ANDX surviving as a wholly owned subsidiary of MPLX. Both ANDX GP and MPLX GP are indirectly owned by Marathon Petroleum Corporation (“MPC”), and as a result, MPC controls both ANDX and MPLX.

On June 28, 2019, ANDX GP and Western Refining Southwest, Inc., which beneficially own a majority of the outstanding common units representing a limited partnership interest in ANDX (each, an “ANDX Common Unit”), delivered a written consent adopting and approving in all respects the Merger Agreement and the transactions contemplated thereby, including the Merger. The delivery of this consent is sufficient to adopt the Merger Agreement, and thereby approve the Merger, without the receipt of written consents from any other holder of ANDX Common Units.

Also on June 28, 2019, MPLX and ANDX issued a press release announcing that (i) the board of directors of ANDX GP has set June 28, 2019 as the record date for determining the holders of ANDX Common Units entitled to execute and deliver written consents with respect to the Merger, (ii) the consent solicitation process will conclude on July 29, 2019, and (iii) the Merger is expected to close on or about July 30, 2019. Given the anticipated timing of the closing of the Merger, the parties expect that holders of ANDX Common Units will not receive any future distributions from ANDX but instead will receive a second quarter 2019 distribution as and when declared by the Board of Directors of MPLX GP (the “MPLX Board”) with respect to the MPLX common units expected to be issued in connection with the Merger. Additionally, the parties expect that ANDX Series A Preferred unitholders will not receive any future distributions from ANDX, but instead will receive the semi-annual distribution payable August 15, 2019, when declared by the MPLX Board, on MPLX Series B Preferred units expected to be issued in connection with the Merger. Dismissal of Litigation Related to the Merger

As previously disclosed, on June 19, 2019, a purported ANDX unitholder (the “Plaintiff”) filed a complaint in the United States District Court of the Southern District of New York, captioned Max Pyziur v. Andeavor Logistics LP et al., Case No. 1:19-CV-05714, alleging, among other things, an omission of material information in the registration statement filed by MPLX, including a consent statement/prospectus, in connection with the Merger (the “Registration Statement”), and declared effective by the Securities and Exchange Commission (the “SEC”). On June 24, 2019, the Plaintiff filed a notice of dismissal with the court, voluntarily dismissing the complaint.
