Item 2.02 - Results of Operations and Financial Condition.

On August 6, 2025, Townsquare Media Inc. (the “Company”) issued a press release announcing operating results for the quarter ended June 30, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
