(the "Company") were issued to the reporting person in connection with the exercise of a warrant to purchase 43,334 shares of common stock of the Company for $3.66 a share. The reporting person paid the exercise price on a cashless basis, resulting in the Company's withholding of 10,659 of the warrant shares to pay the exercise price and issuing to the reporting person the remaining 32,675 shares of common stock of the Company. These transactions were exempt from Section 16(b) of the Securities Exchange Act of 1934 pursuant to Rule 16b-3.
