Item 7.01 Regulation FD Disclosure

On October 28, 2019, Long Blockchain Corp. (the “Company”) issued a press release announcing that the Company and Stran & Company, Inc. (“Stran”), a privately-held leading provider of comprehensive branding and incentive solutions doing business under the name Stran Promotional Solutions, had entered into a non-binding letter of intent to merge their businesses. The press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
