Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 24, 2025, Marc Zandman resigned from the board of directors of Vishay Precision Group, Inc., a Delaware corporation (the “Company”), effective immediately before the election of directors at the Company’s annual meeting of stockholders, which is expected to be held on May 21, 2025, in order to devote his full business time and attention to Vishay Intertechnology, Inc., where he serves as Executive Chairman of the Board of Directors, Chief Business Development Officer, and President, Vishay Israel Ltd.

Mr. Zandman’s resignation was not the result of a disagreement on any matter relating to the Company’s operations, policies or practices.
