ITEM 8.01 OTHER EVENTS

On January 26, 2018, KBS Legacy Partners Apartment REIT, Inc. (the “Company”) approved recommending to its stockholders that they reject a mini-tender offer made by Liquidity Partners Trust I, for up to 375,000 shares of the Company’s common stock, which is approximately 1.78% of the outstanding shares. The Company’s response to this mini-tender offer containing the recommendation to reject the offer is attached as Exhibit 99.1 to this Current Report on Form 8-K.
