Item 1.01 Entry into a Material Definitive Agreement.

On ~~July~~August 249, 2017 ~~(“Effective Date”)~~, Medisun Precision Medicine Ltd. (the “Company”) entered into a ~~share~~settlement ~~purchase~~ agreement (“~~SPA~~Settlement”) with ~~Sun~~Zhengda ~~Medical~~Gene ~~Operation~~Life ~~Company~~Science Shares Limited (“~~Sun Medical~~Zhengda”), ~~under~~a ~~which~~company ~~the~~incorporated ~~Company~~in ~~acquired~~ the ~~entire~~Hong ~~issued~~Kong ~~share~~Special ~~capital~~Administrative Region of ~~New~~the ~~Sonic~~People’s ~~Global~~Republic ~~Limited~~of China (“~~New Sonic~~PRC”), ~~from~~under ~~Sun~~which ~~Medical. As~~the ~~consideration~~Patent ~~for~~Assignment ~~the~~Agreement, ~~acquisition~~dated ofJuly ~~New~~7, ~~Sonic~~2017, between the Company ~~has~~and ~~agreed~~Zhengda was terminated. Pursuant to ~~issue~~the Settlement, the Company assigned and transferred the Patent Rights back to ~~Sun~~Zhengda, ~~Medical~~while Zhengda returned the 15,000,000 ~~new~~Consideration ~~shares~~Shares ofback to the Company’s. The foregoing ~~Common~~descriptions ~~Stock~~are qualified in their entirety by reference to the Form of the Settlement which is filed herewith as Exhibit 10.1 to this Form 8-K and incorporated herein by reference.

~~Sun~~The ~~Medical~~Company ~~is the sole registered and beneficial owner of all of the shares of New Sonic. Previously, Sun Medical~~ entered into athe ~~cooperation~~Patent ~~agreement~~Assignment ~~(“Cooperation~~ Agreement”) with ~~LDG~~Zhengda ~~Labor~~on ~~Deutschland~~July ~~(“LDG”) dated December 6~~7, ~~2016~~2017, ~~which~~pursuant ~~has~~to awhich ~~supplemental~~Zhengda ~~agreement~~assigned ~~entered into between the Sun Medical~~ and ~~LDG~~transferred ~~dated~~to ~~April 12, 2017 (together with~~ the ~~Cooperation~~Company ~~Agreement,~~certain ~~collectively,~~patent ~~the~~rights (“~~Master~~Patent ~~Agreement~~Rights”)~~. Immediately~~ ~~before~~applied ~~the~~for ~~signing~~registration ofin the ~~SPA~~State ~~with~~Intellectual ~~the~~Property ~~Company,~~Office ~~the rights and obligations~~ of ~~Sun Medical under~~ the ~~Master~~PRC ~~Agreement~~(patent ~~was~~application ~~transferred~~number: to201610218242) ~~New Sonic~~ in ~~accordance~~relation ~~with~~to the ~~Master~~isolation ~~Agreement~~and byculture amethod ~~transfer~~for ~~notice~~primary ~~(“Transfer~~mice ~~Notice”)~~or ~~given~~rat byskeletal ~~Sun~~muscle ~~Medical to LDG~~cells. ~~New~~The ~~Sonic~~Form ~~was~~of ~~incorporated in~~ the ~~British~~Patent ~~Virgin~~Assignment ~~Islands~~Agreement onwas ~~May~~filed ~~15,~~as ~~2017~~Exhibit ~~and~~10.1 ~~has~~to ~~had no operations except for~~ the ~~Master~~Form ~~Agreement~~8-K ason ~~its~~July ~~only~~10, ~~asset~~2017.

Item 3.02 Unregistered Sales of Equity Securities.

The information set forth in Item 1.01 of this Current Report on Form 8-K is incorporated herein by reference.

On July 24, 2017, the Company agreed to issue to Sun Medical, a British Virgin Islands corporation, and an accredited investor, 15,000,000 in new shares of its Common Stock as consideration for entering into the SPA described in Item 1.01 of this Form 8-K.

The Company claims an exemption from the registration requirements of the Securities Act of 1933, as amended ("Act"), for the private placement of these securities pursuant to Section 4(2) of the Act since, among other things, the transaction did not involve a public offering, all parties are domiciled outside the United States, Sun Medical is an accredited investor, Sun Medical had access to information about the Company and its investment, accepted the securities for investment and not resale, and the Company took appropriate measures to restrict the transfer of the securities.
