The Reporting Person, under the Make Good Escrow Agreement, agreed to forsake his dispositive power yet to still retain the voting right to these 3,156,808 shares. On May 28, 2009, the Reporting Person executed a proxy to convey to Mr. Tao Li the right to vote and to direct the vote with respect to such 3,156,808 shares.
