The press release was issued by First Trust Advisors L.P. to report that on November 4, 2022, its Leveraged Finance Investment Team, portfolio manager for the Fund, will release an update on the market and the Fund. Details regarding the update are contained in the press release included herein.☐

Amendments to Articles of Incorporation or By-Laws; Change in Fiscal Year

On June 22, 2023, the Board of Trustees of First Trust Senior Floating Rate Income Fund II amended and restated its existing Amended and Restated By-Laws (and as so amended and restated, the “By-Laws”), effective immediately. The By-Laws were revised to rescind Article XII and its accompanying control share provisions, along with other conforming amendments.

The foregoing description is qualified in its entirety by reference to the full text of the By-Laws, a copy of which is attached hereto as Exhibit 3.1 and is incorporated by reference herein.
