On February 27, 2026, the Registrant issued a press release regarding the registrant’s results of operations for the year ended December 31, 2025. The full text of the press release is filed as Exhibit 99.1 to this Form 8-K. Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 27, 2026, the registrant received notice that after almost 16 years with the Company and 10 years as Vice President of Engineering, pursuant to personal plans, Jeff Morgan will retire and resign his Officer position as of April 30, 2026.
