Item 5.02 Departure of Directors or Certain Officers

On November 15, 2024, David I. Chemerow, Brent D. Rosenthal and Georgina Russell notified the Company’s Board of Directors of their individual decisions to resign as directors of the Company, effective immediately. These resignations were not due to any disagreement with the Company known to the Company on any matter relating to the Company’s operations, policies or practices.
