- [F1]Fully vested RSUs, which were immediately convertible to common stock, were issued in connection with the cancellation of previously issued cash-settled SARs. 457,224 shares were granted and 166,186 were withheld for payroll taxes. This form corrects the amount of shares withheld. A Form 4 filed on April 18, 2022 reported 178,357 calculated to be withheld for payroll taxes. This amount was based on a $2.05 stock price. The appropriate price was $1.94 based on a January 14, 2022 value date. This updated form also reflects updated withholding rates. The shares representing the difference in shares withheld for tax withholding were issued to correct the noted errors in stock price and withholding rates.
