Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2017, Denis M. Murphy notified Lighting Science Group Corporation (the “Company”) that he plans to resign from his position as the Executive Vice President and Chief Financial Officer of the Company. Mr. Murphy is resigning to pursue other opportunities and his resignation is expected to be effective on July 24, 2017.
