On May 17, 2012, ES Bancshares, Inc. (the “Company”) held its Annual Meeting of Stockholders. At the Annual Meeting, stockholders considered the election of directors, the ratification of independent registered public accountants, and a shareholder proposal. A breakdown of the votes cast is set forth below.
