~~Gurpreet~~Amit ~~Chandhoke~~Mahajan, ~~Chairman~~an ofindependent ~~the Board, Chief Executive~~board ~~Officer,~~of ~~and~~director ~~President~~ of VII Peaks Co-Optivist Income BDC II, Inc. (the “Company”), has resigned ~~from~~his ~~all~~position, ~~titles~~effective ~~and~~as ~~positions~~of ~~held~~June at28, ~~the Company~~2021, ~~effective~~in asorder ofto ~~June~~pursue ~~11,~~other ~~2021~~professional opportunities. Mr. ~~Chandhoke~~Mahajan did not resign his position due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. In accordance with Item 5.02(a)(3) of Form 8-K, the Company provided Mr. ~~Chandhoke~~Mahajan with a copy of this Form 8-K prior to filing it with the SEC, and the Company understands that Mr. ~~Chandhoke~~Mahajan agrees with the ~~disclosures~~reasons ~~made~~stated ~~herein. Mr.~~for ~~Chandhoke’s~~his ~~duties will be assumed by the Board of Directors until a replacement is named~~resignation.

~~Section~~On 2June –28, ~~Financial~~2018, ~~Information~~the independent member of the Board of Directors of the Company appointed, Mr. Jeya Kumar as an independent board member. Mr. Kumar previously served as an independent board member for the Company from the Company’s inception until his resignation in July of 2018. Mr. Kumar was not appointed pursuant to any arrangement or understanding between himself and any other persons pursuant to which he was selected as an director.

AsOn ~~previously~~June ~~disclosed~~30, ~~the~~ ~~Company~~2021, ~~intends~~a Right to ~~convert~~Attach Order towas agranted ~~liquidating~~in ~~trust~~the ~~and~~amount ~~obtain~~of $500,000 against the ~~necessary~~Company ~~shareholder~~in ~~approval.~~connection Inwith ~~addition,~~a ~~the~~lawsuit ~~Company~~styled ~~continues to~~Hoyt ~~pursue~~vs ~~recovery~~Chandhoke ~~from~~et ~~investments~~al in ~~several~~which ~~portfolio~~the Company ~~companies~~was ~~that~~named ~~have~~as ~~defaulted~~a ondefendant. ~~their~~Plaintiff ~~loans.~~alleges ~~Once~~fraud ~~capital~~and iselder ~~received~~abuse (as well as other claims) with respect to a loan made by the ~~Company,~~Plaintiff itto ~~can~~GeoCommerce ~~proceed~~Inc. ~~with~~The Company believes the ~~proxy~~action is completely without merit and ~~continue~~intends ~~with~~to ~~the~~vigorously ~~liquidation process~~defend itself. Under ~~for~~the terms of the ~~shareholders~~order, the Company is prohibited from making expenditures unless it retains a minimum of $500,000 of cash.

~~Item~~Pursuant ~~8.01~~to ~~Other~~the ~~Events~~requirements of the Securities Exchange Act of 1934, the registrant has duly caused this report to be signed on its behalf by the undersigned hereunto duly authorized.

~~Gurpreet Chandhoke and~~ VII Peaks ~~Capital, LLC entered into settlement agreements with the Securities and Exchange Commission. The SEC imposed civil penalties and a cease~~Co-~~and-desist order based~~Optivist onIncome ~~findings~~BDC ~~that Mr. Chandhoke~~II, ~~and VII Peaks Capital, engaged in transactions that were not disclosed or approved by the Board of Directors of the Company~~Inc. The order finds that due diligence fees were collected by VII Peaks from the Company’s portfolio companies and not disclosed to the Board. The order also finds that Chandhoke engaged in two transactions that benefitted himself financially and where his interests conflicted with the Company’s. Mr. Chandhoke neither admitted nor denied the SEC’s findings.

Michelle MacDonald, the Company’s Chief Financial officer, also entered into a settlement agreement with the Securities and Exchange Commission. The SEC imposed a cease-and-desist order based on findings that Ms. MacDonald failed to disclose due diligence fees retained byJuly ~~VII Peaks Capital~~2, ~~LLC to the Board of the Company. Ms. MacDonald neither admitted nor denied the SEC’s findings.~~2021
