OnChange September 5, 2014, A.C. Simmonds and Sons Inc. (the “Company”) entered into a non-binding letter of intent (the “LOI”) with Environmental Waste International Inc. (“EWS”) regarding the proposed acquisition of all of the issued and outstanding common shares of EWS by the Company in ~~exchange~~Fiscal ~~for~~Year shares of the Company’s common stock. The LOI was reported by the Company in a Current Report on Form 8-K, filed with the Securities and Exchange Commission on September 9, 2014. The LOI provides for an exclusivity period of 30 days following the execution of the LOI (the “Exclusivity Period”) for the Company and EWS to negotiate a definitive agreement and complete their due diligence investigations.End

On October 614, 2014, the ~~Company~~Board ~~and~~of ~~EWS~~Directors ~~entered~~(the ~~into~~“Board”) aof ~~letter~~A.C. ~~agreement~~Simmonds ~~pursuant~~and toSons ~~which~~Inc. ~~they~~(the ~~have~~“Company”) ~~agreed~~approved toa ~~extend~~change in the ~~Exclusivity~~Company’s ~~Period~~fiscal year ~~until~~end ~~5:00~~from ~~p.m.~~August ~~(Eastern~~31 ~~Time) on~~to ~~November~~December 531 of each year. On August 1, 2014;, ~~subject~~the Board had determined to ~~the~~change ~~extension~~its offiscal ~~the~~year ~~Exclusivity~~end from ~~Period~~December 31 to August 31, but the ~~Company~~Board ~~and~~now ~~EWS~~deems ~~have~~it ~~mutually~~advisable ~~acknowledged~~to ~~and~~return ~~agreed~~to the Company’s previous fiscal year end. The Company plans to file an Annual Report on Form 10-K that covers the ~~LOI~~period ~~remains~~from inJanuary ~~full~~1, ~~force~~2014 ~~and~~to ~~effect~~December 31, 2014 within 90 days after the completion of the fiscal year end.
