~~Mr. Klein~~ (~~age 63~~a) Dismissal ~~has over twenty years~~ of ~~experience~~Previous ~~working in~~Independent ~~manufacturing~~Registered ~~and~~Public ~~process control with major companies. Mr. Klein also brings his expertise in engineering, operational leadership,~~Accounting and business management to the company. Since 2001, Mr. Klein has acted as the CFO and COO of ATC Technology Group, which later became known as EastBridge Investment Group Corporation. Mr. Klein currently is a director of Cellular Biomedicine Group, Inc. (OTC-QB, symbol: CBMG), an entity which acquired EastBridge Investment Group Corporation. In considering Mr. Klein's continued eligibility to serve on the Board, the Board considered his extensive experience as an executive at large corporations, skills in financial management, operations and human resources.Firm

2Friedman was engaged as the independent registered public accounting firm on July 29, 2013 (such period from July 29, 2013 through Friedman’s dismissal, the “Engagement Period”). During the Engagement Period, Friedman did not issue any reports on the Company’s financial statements that contained an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles.

~~SIGNATURE~~During the years ended December 31, 2012 and December 31, 2013 and through the Engagement Period: (i) there were no disagreements between the Company and Friedman on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedures which, if not resolved to Friedman’s satisfaction, would have caused Friedman to make reference in connection with Friedman’s opinion to the subject matter of the disagreement; and (ii) there were no reportable events as the term is described in Item 304(a)(1)(v) of Regulation S-K.

(b) Engagement of New Independent Registered Public Accounting Firm

On March 14, 2014, concurrently with the Board’s dismissal of Friedman, the Board appointed Keith K. Zhen, CPA (“KKZ”) as the Company’s independent registered public accounting firm for the fiscal year ended December 31, 2013.

During the years ended December 31, 2012 and December 31, 2013 and through the date hereof, neither the Company nor anyone acting on its behalf consulted KKZ with respect to (i) the application of accounting principles to a specified transaction, either completed or proposed, nor the type of audit opinion that might be rendered on the Company’s financial statements, and neither a written report was provided to the Company or oral advice was provided that KKZ concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue; or (ii) any matter that was the subject of a disagreement or reportable events set forth in Item 304(a)(1)(iv) and (v), respectively, of Regulation S-K.
