- [F1]On November 7, 2023, CPPIB Epsilon Ontario Limited Partnership (the "Partnership"), the general partner of which is CPPIB Epsilon Ontario Trust (the "Trust"), entered into a purchase agreement with Enstar Group Limited (the "Company"), pursuant to which the Partnership agreed to sell to the Company 741,735 voting ordinary shares of the Company owned by the Partnership at a purchase price of $227.1829 per share (the "Transaction"). The Transaction is scheduled to close on November 14, 2023, subject to satisfaction of customary closing conditions.
- [F2]Mr. Poul Winslow previously reported that he had no pecuniary interest in the shares that are the subject of this Form 4. Additionally, as previously disclosed in Amendment No. 8 to the Schedule 13D filed by the Partnership and the Trust on January 9, 2023, Mr. Poul Winslow is no longer a trustee of the Trust.
