- [F2]On November 10, 2014, the Reporting Person transferred and pledged 262,500 shares to Equities First Holdings, LLC ("EFH") as collateral for a term loan. The term of the loan is two years and the pledged shares will be returned to the Reporting Person at maturity. As beneficial owner of the shares pledged to it as collateral, EFH may take any and all actions with respect to such shares, including selling, using as part of hedging transactions, pledging or creating and trading derivative instruments backed by such shares as called for in the loan and pledge agreements. EFH has agreed that it will not vote any of the shares that it is holding as collateral under the loan and pledge agreements.
