- [F1]Such option will become exercisable on the last day of the calendar quarter that includes the date of grant as to a number of shares equal to 2.083% of the option shares multiplied by the number of whole calendar months in such quarter; as to 6.25% of the shares at the end of each of the next 15 calendar quarters; and thereafter as to the balance of the shares on the 4th anniversary of the date of grant (with any fractional shares becoming exercisable on any of such dates to be cumulated and to become exercisable at the end of the earliest succeeding period in which a whole share equivalent is accumulated); and if the optionholder's employment is terminated on a date other than the end of a calendar quarter before the option is fully exercisable, an additional number of shares equal to 2.083% of the option shares multiplied by the number of whole calendar months that have passed as of the date of termination in the quarter in which the termination occurs shall become exercisable.
