In March 2004, these shares were reduced to 2,500 shares by a 1:100 reverse stock split. On August 16, 2004, pursuant to the reverse split protection clause in the Investment Banking Agreement and at no cost to Mr. Brooks, the Issuer issued 247,000 shares to Mr. Brooks to compensate for the reduction in shares caused by the reverse split.
