Item 1.01. Entry into a Material Definitive Agreement.

On February 21, 2005 Davel Communications, Inc. (the "Company") extended its contract with Comm South Companies, Inc. to continue providing line access for a significant portion of the Company’s payphone base. The term of the contract has been extended to March 10, 2006.
