The shares are subject to a risk of forfeiture that will cease with respect to certain amounts of the shares if Mr. Wagner's consulting agreement with the Issuer does not terminate over a three-year period. Mr. Wagner also directly owns 704,002 shares, and indirectly owns an additional 10,884,794 shares by voting proxy and 2,500,000 shares owned by his spouse.
