Item 7.01 Regulation FD Disclosure.

On August 11, 2020, Windstream Holdings, Inc. (the “Company”) issued a news release announcing the pricing of the previously announced offering by the Company’s wholly owned subsidiaries, Windstream Escrow LLC and Windstream Escrow Finance Corp., of $1,400 million aggregate principal amount of 7.750% senior first lien notes due 2028 pursuant to exemptions from registration under the Securities Act of 1933, as amended (the “Securities Act”). A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 7.01.
