Item 1.01 Entry into a Material Definitive Agreement.

On July 11, 2018, International Leaders Capital Corporation, (the “Company”) entered into a Stock Purchase Agreement (the “Purchase Agreement”) with ILC Holdings, LLC. (the “Purchaser”) pursuant to which the Company agreed to sell, and the Purchaser agreed to purchase 50,000,000 shares of the Company’s common stock (the “Shares”), at a cash purchase price of $0.001 per share.

Item 3.02. Unregistered Sales of Equity Securities.

The information required by this Item 3.02 is set forth under Item 1.01 above and is hereby incorporated by reference in response to this Item 3.02.

The sale of the Shares pursuant to the terms of the Purchase Agreement were exempt from registration pursuant to Section 4(a)(2) under the Securities Act of 1933, as amended (“Securities Act”), and Rule 506 of Regulation D promulgated thereunder.
