Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

(a) On October 28, 2015, the Registrant filed with the Nevada Secretary of State a Certificate of Designation of Series B Preferred Stock (“Series B Preferred Stock”) designating 5,300 shares of authorized preferred stock. The Series B Preferred Stock had been authorized by the Board of Directors as a new series of preferred stock, which ranks above the Common Stockholders.

A copy of the Certificate of Designation and the Rights and Preferences of Series B Preferred Stock is attached to this Current Report as Exhibit 3.1.
