[F1]On January 30, 2009, Issuer cancelled the outstanding warrants acquired by Trilogy Capital Partners, Inc. ("Trilogy") from CCM Master Qualified Fund, Ltd. in December 2008, and converted the Subordinated Note held by Trilogy into 8,178,893 restricted shares of the Common Stock of Issuer by dividing the sum of the outstanding principal, accrued interest and late charges and amounts due under the Registration Rights Agreement dated July 28, 2005, by the ocnversion price. The shares acquired from the conversion are subject to a lock-up of 12 months.
