Item 1.01 Entry into a Material Definitive Agreement

On September 30, 2004, the Company through its subsidiaries, Aames Capital Corporation and Aames Funding Corporation, entered into Amendment No. 6 to the Second Amended and Restated Master Loan and Security Agreement, dated as of August 29, 2003, with Morgan Stanley Mortgage Capital Inc. to extend the termination date of this warehouse facility from September 30, 2004 to October 8, 2004.
