The exchange ratio was calculated as the ratio of the JPW net asset value per common share over the JPC net asset value per common share, each calculated as of the close of business on June 9, 2017, the business day immediately preceding the closing of the reorganization. As of such time, the net asset value per common share of JPW was $18.6991 and the net asset value per common share of JPC was $10.7475. On June 9, 2017, the closing trading price of JPW common shares was $17.98 and the closing trading price of JPC common shares was $10.38.
