The private warrants were purchased pursuant to a private placement simultaneously with the consummation of the Issuer's initial public offering.
- [F2]The private warrants will become exercisable on the later of (i) one year after the date that the Issuer's registration statement for its initial public offering was declared effective by the U.S. Securities and Exchange Commission, which is December 15, 2022 and (ii) the consummation of the Issuer's business combination. The private warrants will expire on the fifth anniversary following the consummation of the Issuer's initial business combination, at 5:00 p.m., New York City time, or earlier upon redemption or liquidation.
