Item 8.01 Other Events.

On September 9, 2025, Augusta Gold Corp. (the “Company”) filed a Notice of Meeting and Record Date (the “Notice”) for its special meeting of the stockholders of the Company (the “Special Meeting”) to consider, among other items of business, and vote on a proposal to approve and adopt the transactions set forth in the Agreement and Plan of Merger, dated as of July 15, 2025 (as amended from time to time, the “Merger Agreement”) by and among the Company, AngloGold Ashanti (U.S.A.) Holdings Inc., a Delaware corporation (“Parent”), Exploration Inc., a Nevada corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), and joined by AngloGold Ashanti Holdings plc, a public limited company existing under the laws of the Isle of Man (“HoldCo”), for the limited purposes specified in the Merger Agreement, pursuant to which Parent, Merger Sub and the Company intend to effect a merger of Merger Sub with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly-owned subsidiary of Parent.

As set forth in the Notice, which is attached hereto as Exhibit 99.1 and incorporated herein by reference, the Special Meeting will be held on October 20, 2025 and the record date for notice of the Special Meeting and for determining those stockholders that are entitled to vote on the matters at the Special Meeting, including voting on the Merger Agreement and Merger, is September 12, 2025.
