On ~~June~~September 2812, 2024, the Board of Directors of China Health Industries Holdings, Inc., a ~~company~~corporation incorporated under the laws of the ~~state~~State of Delaware (the “Company”), ~~through~~approved ~~one~~the dismissal of ~~its~~Assentsure ~~wholly-owned~~PAC ~~subsidiaries, China Health Industries Holdings Limited~~ (“~~China Health HK~~Assentsure”), ~~set~~as upthe aCompany’s ~~100%~~independent ~~owned subsidiary, Zhuhai Hankang Biology Science~~registered ~~and~~public ~~Technology~~accounting ~~Co.~~firm, ~~Ltd.~~effective ~~(“Hankang”), with its primary business being manufacturing and distributing medicine, cosmetics and health food~~immediately. On July 5, 2024, Harbin Humankind Biology Technology Co., Limited. (“Humankind”), a wholly-owned subsidiary of China Health HK, transferred 100% equity interests of Heilongjiang HempCan Pharmaceuticals Co., Ltd. (“HempCan”) to Hankang.

OnThe ~~July~~reports 8,of ~~2024, China Health HK entered~~Assentsure ~~into~~on ~~certain stock transfer agreements (collectively,~~ the ~~“Agreements”)~~financial ~~with~~statements ~~Mr. Xin Sun and Ms. Liyuan Sun (collectively, the “Buyers”). Pursuant to the Agreements, China Health HK agreed to transfer to Mr. Xin Sun 99% and Ms. Liyuan Sun 1%~~ of the ~~equity~~Company ~~interests~~as of ~~Harbin~~and ~~Humankind Biology Technology Co., Limited. (“Humankind”),~~ for athe ~~consideration~~fiscal ofyear ~~USD~~ended ~~594,000~~June ~~and USD 6~~30,~~000~~ ~~respectively,~~2023 ~~totaling~~did ~~USD~~not ~~600,000 (collectively,~~contain ~~the~~any ~~“Purchase~~adverse ~~Prices”).~~opinion ~~Mr.~~or ~~Xin Sun will pay the consideration of USD 594,000 by the way of transferring his~~disclaimer ~~common stock~~ of ~~China~~opinion ~~Health Industries Holdings, Inc. (Ticker: CHHE) to China Health HK. Each share of CHHE common stock is valued at USD 1.00 ($ 1.00)~~ and ~~Mr.~~was ~~Xin~~not ~~Sun~~qualified ~~shall~~or ~~transfer~~modified ~~594,000~~as ~~shares of CHHE common stock (“Consideration Shares”)~~ to ~~China Health HK in total. Ms. Liyuan Sun will pay the consideration of USD 6~~uncertainty,~~000~~ byaudit ~~cash.~~scope ~~Mr.~~or ~~Xin~~accounting ~~Sun is the Chairman, sole director and sole executive officer of China Health Industries Holdings, Inc~~principles. ~~and Ms. Liyuan Sun is Mr. Xin Sun’s younger sister. After the completion of the stock transfer, the Buyers will have the shareholder’s rights and fulfill the shareholder’s obligations.~~

(~~the “Company~~”),~~ with a ~~corporation~~letter ~~incorporated~~addressed ~~under~~to the ~~laws~~Securities ~~of the State~~and ofExchange ~~Delaware,~~Commission ~~entered~~stating ~~into~~whether ~~certain~~it ~~stock~~agrees ~~transfer~~with ~~agreements (collectively,~~ the ~~“Agreements”)~~statements ~~with~~made Mrtherein. ~~Xin~~A ~~Sun~~copy ~~and Ms. Liyuan Sun (collectively, the “Buyers”), the description~~ of ~~the~~such ~~transaction~~letter ~~contemplated~~furnished by ~~such~~Assentsure ~~Agreements~~is ~~(the “Disposition”)~~filed ~~was~~as ~~previously~~Exhibit ~~disclosed Item 1~~16.011 to this ~~Report~~Form 8-K.

On ~~July~~ 11September 12, 2024, the Board ~~Company closed~~of ~~the~~Directors ~~Disposition.~~of ~~The~~the ~~transfer~~Company ofapproved the ~~equity~~engagement ~~interests~~ of ~~Harbin~~ ~~Humankind~~GGF ~~Biology~~CPA ~~Technology Co.,~~LTD ~~Limited.~~ (“~~Humankind~~GGF”) ~~from~~as ~~the~~its ~~China~~new ~~Health~~independent ~~HK to~~registered public ~~the~~accounting ~~Buyers and the changes of business registration have been completed~~firm.
