Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 17, 2024, Scott Reeves, a member of the Board of Directors of Lucy Scientific Discovery Inc. (the “Company”), resigned, effective immediately. Mr. Reeves did not resign as a result of any disagreement with the Company, known to an executive officer of the Company, on any matter relating to the Company’s operations, policies or practices.
