Item 8.01 Other Events.

OnEvergreen ~~January~~Sustainable 12Enterprises, ~~2023~~ Inc., ~~the~~a ~~Company~~Delaware ~~announced~~corporation ~~the~~(“Evergreen” ~~acquisition of~~or ~~80% of~~ the ~~equity ownership in Toro Energía Sociedad Anonima (~~“~~Toro~~Company”)., ~~Toro~~ is ain ~~Costa~~the ~~Rican~~process ~~corporation with ownership~~ of afinalizing ~~hydroelectric~~its ~~dam~~annual inreport on ~~Costa~~Form ~~Rica.~~10-K ~~The~~(the ~~source~~“10-K”) offor ~~approximately~~the ~~one~~fiscal ~~megawatt~~year ofended ~~power~~December ~~produced~~31, at2023 ~~an extremely low cost from the hydroelectric dam~~ (~~six~~“Fiscal ~~generators~~2023”), iswhich ~~used~~was originally scheduled to ~~power~~be ~~new~~filed ~~Bitcoin~~on ~~mining~~April ~~machines~~1, ~~that were installed in June~~2024.

Effective October 1, 2023, ~~the~~ management and day-to-day operations of Toro Energia Sociedad Anonima (“Toro”) were taken over by Evergreen ~~Sustainable Enterprises, Inc. (“Evergreen”)~~ and its subsidiaries. Five new employees ~~have~~ ~~been~~were hired, last October and the ~~company~~Company maintains full operating control of the ~~assets~~hydroelectric generating plant, along with all bitcoin ~~mining activity~~activities. Additionally, the Company has recently retained Toro’s prior accounting firm to assist in handling invoices and recordkeeping which were previously not available to the Company. This historical information is imperative so that Evergreen can complete its financial statements in the manner required under the rules and regulations of the Securities & Exchange Commission. We currently anticipate receiving this required documentation on or before November 10, 2023, which will then enable Evergreen to file its outstanding first quarter and second quarter Form 10-Qs, ending March 31, 2023 and June 30, 2023 as soon as reasonably practicable thereafter.

~~SIGNATURE~~Management has retained two separate accounting firms located in Costa Rica who have been restructuring the accounting books and records from the prior owner. This historical information has been necessary in order that the accounting of Toro, an 80% owned subsidiary of the Company, could be completed and consolidated into the parent company’s consolidated financial statements and filings. This extensive process going back to January 2023 is imperative so that Evergreen can complete its quarterly and annual filings in the manner required under the rules and regulations of the Securities and Exchange Commission.
