OnPursuant ~~March~~to ~~24,~~that ~~2023,~~certain ~~the~~Amended ~~Board~~and Restated Agreement and Plan of ~~Directors~~Merger, dated as of April 24, 2023, Kayne Anderson Energy Infrastructure Fund, Inc. (~~the~~ “~~Company~~KYN”) ~~amended~~and ~~the~~Kayne ~~Second~~Anderson NextGen ~~Amended~~Energy ~~and~~& ~~Restated~~Infrastructure, ~~Bylaws~~Inc. of(“KMF”) ~~the~~have ~~Company~~entered ~~to remove~~into ~~Article~~a ~~XVI.~~definitive ~~That~~agreement ~~repealed~~to ~~Article~~combine ~~XVI~~the ~~made~~two funds (the ~~Company~~“Merger”). The Merger and related transactions are subject to ~~the~~KYN ~~Maryland~~and ~~Control~~KMF ~~Share~~stockholder ~~Acquisition~~approval. ~~Act,~~KYN ~~which~~and ~~had~~KMF have reestablished the ~~effect~~record date for purposes of ~~limiting~~voting ~~the~~on ~~voting~~matters ~~rights~~relating into ~~certain~~the ~~circumstances~~Merger.
