~~Emerging~~On ~~growth~~March ~~company ☐~~24, 2023, the Board of Directors of Kayne Anderson NextGen Energy & Infrastructure, Inc. (the “Company”) amended the Second Amended and Restated Bylaws of the Company to remove Article XV. That repealed Article XV made the Company subject to the Maryland Control Share Acquisition Act, which had the effect of limiting the voting rights in certain circumstances of a person who acquires more than a certain level of ownership of the Company’s stock.

On June 11, 2021, Michael J. Levitt notified the Board of Directors of Kayne Anderson NextGen Energy & Infrastructure, Inc. (the “Fund”) of his decision to resign, effective immediately, from his position as an interested director of the Fund. -1-
