- [F2]These shares of Class B common stock are held by McLaren Technology Acquisition Sponsor LLC, acquired pursuant to a subscription agreement dated as of March 9, 2021 by and among McLaren Technology Acquisition Sponsor LLC and the registrant. Sajan Pillai, the Chairman and Chief Executive Officer of the registrant, is the controlling shareholder of McLaren Strategic Ventures Holdings, Inc, the managing member of McLaren Technology Acquisition Sponsor LLC. Mr. Sajan has sole voting and dispositive control over the shares held by McLaren Technology Acquisition Sponsor LLC and may be deemed the beneficial owner of such shares. These shares include an aggregate of 656,250 shares that are subject to forfeiture to the extent that the underwriters do not exercise their over-allotment option in connection with the registrant's initial public offering in full. Mr. Pillai disclaims any such beneficial ownership except to the extent of his pecuniary interest.
