4Anchorage International Holdings Corp. was incorporated as MojoRepublik, Inc. in the state of Delaware on September 10, 2007. On October 1, 2008, the Company changed its name to Republik Media and Entertainment, Ltd. On August 26, 2013, the Company changed its name to Anchorage International Holdings Corp.

~~Table~~On February 19, 2020, Custodian Ventures, LLC, an investment company owned by David Lazar, entered into a Stock Purchase and Sale Agreement (the “Agreement”) with Jason Sakowski in which Mr. Lazar agreed to purchase 777,600,000 shares of ~~Contents~~the Company’s common stock, par value $0.00001 per share, representing 82.8 percent of the total issued and outstanding common stock of the Company (the “Acquisition”). Following the execution of the Agreement, on February 28, 2020, the Company’s board of directors approved, by unanimous written consent in lieu of a special meeting of the Board, the appointment of David Lazar as the new sole director of the Company. On February 28, 2020, the Company’s stockholders approved the appointment by a vote of 82.8 percent of the total voting stock of the Company. The Acquisition closed on March 18, 2020.

From 2014 through 2015, David was the Chief Executive Officer of Dico, Inc., which was then sold to Peekay Boutiques. Since February of 2018, Mr. Lazar has been the managing member of Custodian Ventures LLC, where he specializes in assisting distressed public companies. Since March 2018, David has acted as the managing member of Activist Investing LLC, which specializes in active investing in distressed public companies. David has a diverse knowledge of financial, legal and operations management, public company management, accounting, audit preparation, due diligence reviews and SEC regulations. David Lazar is also the sole officer and director of Melt, Inc. and Zhongchai Machinery, Inc., both of which are blank check companies. His expertise includes early-4stage company capital restructuring, debt financing, capital introductions, and mergers and acquisitions. The Company conducted business through its two wholly-owned subsidiaries, MojoRepublik, LLC and LiveBrew.com, LLC. MojoRepublik, LLC, a wholly-owned subsidiary of the Company, was organized on June 14, 2007 in the State of Nevada. MojoRepublik, LLC was in the business of developing and promoting a website, www.mojorepublik.com. On September 26, 2011, the Company agreed to transfer all membership units owned in its two wholly-owned subsidiaries, MojoRepublik, LLC and LiveBrew.com, LLC, to a former officer of the Company who is also the Company’s former majority stockholder, in consideration for the cancellation of all outstanding promissory notes held by the former officer and the assumption of other liabilities related to the subsidiaries. The former officer agreed to cancel and/or assume a total of $364,721 which included accounts payable, accrued interest and notes payable. The former officer also received fixed assets which had no carrying value on the date of sale as well as the bank account of one subsidiary with cash of $364. The Company did not recognize a gain on the transaction and recognized the net book deficiency of the subsidiaries sold as an increase in the Company’s additional paid-in-capital of $364,357.

~~Family~~On February 19, 2020, Custodian Ventures, ~~Relationships~~LLC, an investment company owned by David Lazar, entered into a Stock Purchase and Sale Agreement with Jason Sakowski in which Mr. Lazar agreed to purchase 777,600,000 shares of the Company’s common stock, par value $0.00001 per share, representing 82.8 percent of the total issued and outstanding common stock of the Company (the “Acquisition”). Following the execution of the Agreement, on February 28, 2020, the Company’s board of directors approved, by unanimous written consent in lieu of a special meeting of the Board, the appointment of David Lazar as the new sole director of the Company. On February 28, 2020, the Company’s stockholders approved the appointment by a vote of 82.8 percent of the total voting stock of the Company. The Acquisition closed on March 18, 2020.

Committees of the Board

Our company currently does not have nominating, compensation or audit committees or committees performing similar functions nor does our company have a written nominating, compensation or audit committee charter. Our directors believe that it is not necessary to have such committees, at this time, because the functions of such committees can be adequately performed by the board of directors. Our Board of Directors, which performs the functions of an audit committee, does not have a member who would qualify as an “audit committee financial expert” within the definition of Item 407(d)(5)(ii) of Regulation S-K. We believe that, at our current size and stage of development, the addition of a special audit committee financial expert to the Board is not necessary.

Our company does not have any defined policy or procedural requirements for shareholders to submit recommendations or nominations for directors. The Board of Directors believes that, given the stage of our development, a specific nominating policy would be premature and of little assistance until our business operations develop to a more advanced level. Our company does not currently have any specific or minimum criteria for the election of nominees to the Board of Directors and we do not have any specific process or procedure for evaluating such nominees. The board of directors will assess all candidates, whether submitted by management or shareholders, and make recommendations for election or appointment.

A shareholder who wishes to communicate with our board of directors may do so by directing a written request addressed to our President, Jason Sakowski, at the address appearing on the first page of this annual report.

Code of Ethics

As of June 30, 2013, we had not adopted a Code of Ethics for Financial Executives, which would include our principal executive officer, principal financial officer, principal accounting officer or controller, or persons performing similar functions.

Compensation Discussion and Analysis

We do not currently have any employment agreements with any of our named executive officers and have not established a system of economic compensation or any fixed policies regarding compensation of executive officers. Due to financial constraints typical of those faced by a development stage business, we have not paid any cash and/or stock compensation to our named executive officers.

Our current named executive officer holds substantial ownership in the Company and is motivated by a strong entrepreneurial interest in expanding our operations and revenue base to the best of his ability. As our business and operating expand and mature, we may develop a formal system of compensation designed to attract, retain and motivate talented executives.

We have not entered into any employment agreement or consulting agreement with our executive officers. There are no arrangements or plans in which we provide pension, retirement or similar benefits for executive officers.
