- [F1]Represents shares of common stock that are issuable pursuant to restricted stock units ("RSUs"). The RSUs will vest fully on June 19, 2019 (the "Vesting Date"), subject to the Reporting Person's Continuous Service (as defined in Issuer's Amended and Restated 2014 Equity Incentive Plan, or, the "Plan") on the Vesting Date; provided that if the Reporting Person voluntarily resigns as a Director other than for Cause (as defined in the Plan), then the RSUs will vest as of the effective date of the resignation as to 1/365th of the RSUs multiplied by the number of full days of the Reporting Person's service between June 19, 2018 and the effective date of the resignation. Ryan Floyd, M. Alex Mendez, Tae Hea Nahm and Sanjay Subhedar are the managing members of SVA LLC and, as such, may be deemed to have shared power to vote and dispose of the Issuer's shares of common stock held of record by each of SV III, SVA III and SVP III. Each of the managing directors disclaims beneficial ownership of the shares reported herein, except to the extent of his respective pecuniary interest therein.
