  • [F1]The reporting person is a party to a series of seven Put Option Agreements, each dated as of February 28, 2013 (the "Put Option Agreements"), with the other parties named therein under which the reporting person granted a series of put options obligating the reporting person to purchase for $9.00 per share an aggregate total of 1,011,557 shares of common stock of the issuer, at the request of the counterparty to each Put Option Agreement, during the six month period commencing on August 28, 2014 and expiring on February 28, 2015.
  • [F2]Certain holders of put options granted by the reporting person under the Put Option Agreements elected to exercise such options and sell to the reporting person at $9.00 per share (i) 80,710 shares of common stock of the issuer on September 5, 2015, and (ii) an additional 123,227 shares of common stock of the issuer on September 8, 2015; for an aggregate total of 203,937 shares of common stock of the issuer. The consummation of the acquisition of these shares of common stock of the issuer by the reporting person in connection with the exercise of such put options has not occurred as of the date of this report.
