Lacuna LLC serves as the sole general partner of Lacuna GP, which serves as the sole general partner of Lacuna Venture. Neither Lacuna LLC nor Lacuna GP directly owns any securities of the Issuer. Each of the Lacuna Entities may be deemed to have shared power to vote or direct the vote of, and to dispose or direct the disposition of, the securities of the Issuer held by Lacuna Venture. Lacuna LLC may also be deemed to have shared power to vote or direct the vote of, and to dispose or direct the disposition of, shares of the Issuer's common stock (including warrants to purchase shares of the Issuer's common stock) held directly by Lacuna Hedge Fund LLLP. Each of Lacuna GP and Lacuna LLC disclaims beneficial ownership of these securities, except to the extent of its pecuniary interest therein.
- [F2]These warrants were issued pursuant to that certain Debenture Purchase Agreement, dated as of September 30, 2008 and amended as of April 9, 2009 and June 30, 2009, by and among the Company and certain investors, including Lacuna Venture. These warrants (the form of which was filed by the Issuer as Exhibit 10.54 to the Form 8-K filed with the Securities and Exchange Commission on April 13, 2009, and incorporated herein by reference), have a five-year term, subject to early termination upon the occurrence of certain events, and an exercise price of $1.40 per share.
