- [F1]On August 28, 2009, 1,389 shares of restricted stock of the Company vested in accordance with the Restricted Stock Award Agreement dated February 28, 2008. The reporting person elected to pay a tax liability arising upon vesting of the restricted stock by having the Company withhold shares that would otherwise have been issued to him based on a value of $1.60 per share, the closing price of the Common Stock on the vesting date. This Amendment on Form 4 is being filed to correct the number of shares that were withheld on August 28, 2009 to pay the reporting person's tax liability arising upon the vesting of 1,389 shares of restricted stock from 577 shares to 521 shares.
- [F2]An award of 11,666 shares of restricted stock of the Company was granted to the reporting person on November 13, 2007 and was previously reported in Table II of the reporting person's Form 3 filed with the SEC on December 5, 2007. These shares of restricted stock vest as follows: (i) 1/3 vest on November 13, 2008, with quarterly vesting thereafter for a period of 24 months subject to acceleration or termination in certain circumstances. Accordingly, (i) 3, 888 shares of restricted stock vested on November 13, 2008 and (ii) 972 shares vested on each of February 13, 2009, May 13, 2009 and August 13, 2009 and, subject to the 365 shares netted on August 13, 2009 to pay a tax liability arising upon the vesting of such restricted stock, which was previously reported, are included in the reporting person's ownership of Common Stock in Table I.
- [F3]An award of 16,667 shares of restricted stock of the Company was granted to the reporting person on February 28, 2008 and was previously reported in Table II of the reporting person's Form 4 filed with the SEC on February 29, 2008. These shares of restricted stock vest as follows: (i) 1/3 vest on February 28, 2009, with quarterly vesting thereafter for a period of 24 months subject to acceleration or termination in certain circumstances. Accordingly, (i) 5,555 shares of restricted stock vested on November 13, 2008 and (ii) 1,389 shares vested on each of May 28, 2009 and August 28, 2009 and, subject to 521 shares netted on August 28, 2009, which are reported herein, are included in the reporting person's ownership of Common Stock in Table I
