- [F2]These 550,000 shares were sold through The Bear Stearns Companies Inc. ("Bear"), a member of the Bear Stearns MB 1998-1999 Pre-Fund, LLC (the "Pre-Fund"). Prior to such sale, the Pre-Fund had distributed 3,816,215 shares of common stock to Bear. Bear acts as managing member of the Pre-Fund and in that capacity it exercises voting and investment control over all shares of common stock held by the Pre-Fund.
