(collectively, ???Kohlberg Fund IV???). Kohlberg Fund IV is the principal stockholder of KAGT Holdings, Inc., which in turn is the sole stockholder of KAGT Acquisition Corp. By virtue of this relationship, Mr. Woodward may be deemed to share voting and dispositive power with respect to the 6,081,145 shares owned by KAGT Acquisition Corp.
