- [F1]On November 11, 2014, the Compensation Committee of TWC Board of Directors granted to Mr. Ramadan, five-year options to buy 200,000 shares of the Company's common shares. The options will vest in four equal parts, with the first portion of 50,000 to be vested on the date of grant, followed by annual vesting of 50,000 options upon reaching each anniversary date. The exercise price is set at the market closing price on the date of grant, which is $3.20, and will escalate at each anniversary date by 4.0%, to $3.33 on the first anniversary date, and so on.
- [F2]On July 1, 2005, Mr. Ramadan was granted 75,000 performance restricted stock that vest upon reaching certain earning targets that have not been met.
