Item 1.01 – Entry into a Material Definitive Agreement.

On ~~August~~September 2617, 2025, AB ~~CRE PDF TNVA1 LLC (“TNVA1”), a wholly owned subsidiary of AB~~ Commercial Real Estate Private Debt Fund, LLC (the “Fund”), entered into an amendment (the “Amendment”) to the ~~Loan~~master repurchase and ~~Security~~securities ~~Agreement~~contract agreement (~~the~~as ~~“HSBC~~amended, ~~Loan~~the ~~and Security~~ “Agreement”), by and among ~~TNVA1,~~Morgan asStanley ~~borrower~~Mortgage Capital Holdings LLC, ~~HSBC~~as ~~Bank~~the ~~USA~~administrative agent, ~~National~~Morgan ~~Association~~Stanley ~~(“HSBC”)~~Bank, N.A., as ~~administrative~~the ~~agent~~buyer, ~~for~~AB ~~itself~~CRE ~~and~~PDF ~~the~~Member ~~other~~I ~~lenders~~LLC, ~~signatory~~as ~~thereto~~seller, and the ~~lenders~~Fund, ~~signatory~~as ~~thereto (~~the ~~“Lenders”)~~guarantor.

The Amendment, ~~among~~increased ~~other changes, (i) extends~~ the ~~initial~~master ~~maturity~~repurchase ~~date~~facility ofsize ~~borrowings~~from ~~under the HSBC Loan and Security Agreement to July 9, 2027 and (ii) provides for an additional loan under the HSBC Loan and Security Agreement of~~ $92400,~~250~~000,000 ~~(the “Additional Loan”), increasing the aggregate total borrowings under the HSBC Loan and Security Agreement~~ to $~~187~~500,~~150~~000,000 ~~(the “HSBC TNVA1 Loan”)~~. The ~~Additional~~foregoing ~~Loan~~description ~~bears~~of ~~interest~~the atAmendment ~~Term~~does ~~SOFR~~not ~~plus~~purport ato ~~margin~~be ofcomplete ~~1.50%,~~ and it is ~~secured~~qualified ~~by a first priority security interest~~ in aits ~~mortgage~~entirety ~~loan~~by ofreference ~~the Fund that was collaterally assigned~~ to the ~~Lenders~~full intext ~~connection~~of ~~with~~ the Amendment. ~~The~~attached ~~Amendment~~hereto ~~also~~as ~~introduced~~Exhibit ~~new customary covenants and events of default with respect to the Additional Loan~~10.1.

In connection with the Amendment, the Fund reinstated and modified its obligations to guarantee the payment of the HSBC TNVA1 Loan in an amount equal to the lesser of (i) 25% of the outstanding principal balance of the HSBC TNVA1 Loan and (ii) $46,787,500.00.
