Item 8.01

Other Events.

On December 31, 2024, Redwood Mortgage Investors VIII, L.P. (“RMI VIII” or the “Partnership”), made a distribution totaling $3,821,549 from available liquidation proceeds to limited partners with an account balance of approximately $10,000 or less, in accordance with the Partnership’s previously disclosed plan of dissolution. As a result of the distribution, the respective accounts of these limited partners have been fully redeemed, and no further payments will be made to them in connection with their respective investments.
