Unregistered Sales of Equity Securities.

Item 8.01.

Other Events.

On December 31, 2024, the underwriters of Range Capital Acquisition Corp., a Cayman Islands exempted company (the “Company”), notified the Company of their exercise of the over-allotment option in full and purchased 1,500,000 additional units (the “Option Units”) at $10.00 per unit upon the closing of the over-allotment option, generating gross proceeds of $15,000,000. The over-allotment option closed on January 3, 2025. Simultaneously with the closing of the over-allotment option, the Company consummated the private placement of an aggregate of 37,500 units (the “Private Placement Units”) to Range Capital Acquisition Sponsor, LLC and EarlyBirdCapital, Inc. at a price of $10.00 per Private Placement Unit, generating gross proceeds of $375,000.

On January 3, 2025, the Company published a press release to report the closing of the over-allotment option. The press release is furnished with this report as Exhibit 99.1.
