Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

The Board of Directors of Western Asset Mortgage Opportunity Fund Inc. (the “Fund”) has amended and restated in its entirety the bylaws of the Fund (the “~~Third~~Fourth Amended and Restated Bylaws”). The ~~Third~~Fourth Amended and Restated Bylaws became effective ~~August~~November 1415, ~~2020~~2024, are attached hereto as an Exhibit and are incorporated herein by reference.
